SCOPE OF WORK – Capital Liaison

We provide professional financial services to small and medium-sized businesses, connecting them with a network of fully vetted, private and institutional investors.

SCOPE OF WORK:

The items listed below are required to start the capital placement process. The time frame to complete the deliverables in total is approximately 14 business day.

The minimum capital raise is 1M USD.

Financial Analyst	includes financial projections for ROI to investors
Underwriter	includes risk assessment and investment evaluation
Term Sheet	includes valuation, investment requirements, percentage stake, voting rights, liquidation preference, anti-dilutive provisions, investment commitments, etc.
Offering Teaser	includes a concise one-page introduction suitable for distribution to verified accredited investors
Investor Presentation Deck	includes comprehensive information about the offering related to the company or project description

Special Purpose Vehicle (SPV)	includes an investment vehicle that pools assets for investment combining resources from multiple investors (additional expenses may apply and deducted from proceeds). Also, includes KYC/AML, Blue Sky Law (state registration fees), Entity formation, etc. (additional fees will apply and deducted from funding proceeds estimate (50K) e.g. 2% management fee, funding portal, 19.5K, et al.
Definitive Agreement	includes a binding contract that records the final terms and conditions between the investor(s) and the target company.
Investor Relations Management	includes cap table management, accredited investor verifications, financial and expense reporting, etc. (additional expenses may be applied and deducted from proceeds at funding)
Engagement Deposit:	$12,500.00
Underwriting Documents (Small and Medium Size Business)	SMB: Previous three years financials, YTD P/L, Current Debt Schedule, Executive Summary, Management BIOs, Presentation Deck, Use of Funds, etc. additional information to be requested upon engagement
Underwriting Documents (Real Estate Projects)	Real Estate Developers and Owners: copy of appraisal, schedule of REO, Executive Summary, Use of Funds, construction estimate/budget, debt commitment, GC agreement and resume, management BIO, etc. additional information to be requested upon engagement
